J. Randall Waterfield, CFA
Mr. Randall Waterfield, CFA is the co-founder, co-chairman and co-chief executive officer of Affinity Financial Corporation. Prior to AFC, Mr. Waterfield was at Goldman Sachs & Co., where he worked as an institutional asset manager responsible for small capitalization growth portfolios totaling $1.0 billion. He also serves as a principal of Waterfield Enterprises, LLC, and Fife Waterfield, LLC, both investment companies focusing on private equity and venture capital investments. Mr. Waterfield supports various educational and environmental charities through his involvement in The Waterfield Foundation. He is a Chartered Financial Analyst and graduated from Harvard University. Mr. Waterfield is also the finance chair and a member of the executive committee of the New York City Young Presidents' Organization, New York, New York.

Richard R. Waterfield
Mr. Richard R. Waterfield is co-founder, co-chairman and co-chief executive officer of Affinity Financial Corporation. Mr. Waterfield is also a principal of Waterfield Enterprises, LLC, and a founding principal of Fife Waterfield & Co. Prior to the founding of Waterfield Enterprises, Affinity Financial Corporation, and Fife Waterfield & Co., Mr. Waterfield was an Institutional Equity Advisor at Goldman, Sachs & Co. in New York covering AllianceBernstein L.P., Merrill Lynch & Co., Inc., and American Express Financial Advisors among others. Mr. Waterfield supports various educational and environmental charities through his involvement in The Waterfield Foundation. Mr. Waterfield was trained in bank stock analysis at Prudential Securities under George M. Salem, and is a graduate of Columbia University.

Roy A. Henderson
Mr. Henderson is a director and the president of AFC. He has previously served as chief executive officer of CNA Trust, a division of CNA Insurance, Costa Mesa, California, as a director of Pacific Premier Bancorp, Inc. and Westcorp, Inc. and their respective bank subsidiaries, and as vice chairman of Union Bank of California where he was responsible for trust and investment management, private banking, mutual funds and investment underwriting. Previously, he was vice chairman of The Bank of California where his responsibilities included commercial and retail banking, commercial and residential real estate lending, trust and investment management, private banking, HighMark mutual funds and investments. Prior thereto, Mr. Henderson served as president and chief operating officer of Puget Sound Bancorp, Tacoma, Washington, and of its principal subsidiary, Puget Sound National Bank. and was vice chairman of Seafirst Corporation, Seattle, Washington, and of its principal subsidiary, Seafirst Bank.

John A. Bogler, CPA, CFA
Mr. Bogler CPA, CFA is executive vice president and chief financial officer of AFC. He is a Certified Public Accountant and a Chartered Financial Analyst. Mr. Bogler was the chief financial officer of Jackson Federal Bank in Brea, California, from 2000 to 2004, where he was responsible for all financial functions of the bank, including strategic planning. Prior thereto, he worked in increasing areas of responsibility in corporate finance at Jackson National Life Insurance Company.

John G. Marino
Mr. Marino is the chief operating officer for Affinity Financial Corporation. Mr. Marino joined AFC/Waterfield Technologies as a project manager in 1999. In 2002, Mr. Marino assumed responsibility for Waterfield Technologies' PMO office, where he was instrumental in developing the structure, procedures, and customer communication tools required to manage AFC & Waterfield Technologies' growing customer base. Throughout his career with AFC and Waterfield Technologies, he has successfully attracted, implemented, and serviced clients such as United Healthcare Services, Inc., GE Capital, U.S. Bank, and Citibank, among others. His efforts have helped earn Waterfield Technologies & AFC its' reputation as an industry leader in financial technology and software systems based implementation. Mr. Marino came to AFC from eMoney Systems where he served as an industry analyst for the e-commerce/payment systems industry.

Daniel R. Tringali
Mr. Tringali is the executive vice president of business development at AFC and has over 15 years of experience in the affinity marketplace. Prior to AFC, Mr. Tringali was a national sales manager for Kessler Financial Services, Boston, Massachusetts, where he developed affinity programs on behalf of MBNA America Bank (now Bank of America, N.A.), Fleet Boston Financial (now Bank of America, N.A.) and Household Financial, Inc. Prior to Kessler Financial, Mr. Tringali worked at First Data Corporation.

John E. Karzak
Mr. Karzak is chief marketing officer for Affinity Financial Corporation. In this capacity, Mr. Karzak is responsible for all company marketing functions, including business strategy, partnership management, branding, advertising, performance measurement and analysis and customer loyalty. Mr. Karzak came to AFC from Countrywide Financial Corporation where he was senior vice president of marketing. There he was responsible for strategic development, design, and implementation of all online and offline marketing, advertising, and public relations initiatives for Countrywide's insurance and banking entities. Mr. Karzak has also held senior marketing leadership positions at MBNA America (now Bank of America, N.A.), Wachovia Bank, N.A., Fleet Boston Financial and Harrah's Entertainment.

Eugene V. Fife
Mr. Eugene V. Fife was formerly a general partner of Goldman Sachs & Co., where he served as a member of the firm's Management Committee and as Chairman of Goldman Sachs International. He is the founding principal of Vawter Capital, LLC, Charlottesville, Virginia, a private investment firm, a member of the Board of Directors of Caterpillar, Inc. (NYSE: CAT), and is the non-executive chairman of Eclipsys Corporation (NASDAQ: ECLP). Mr. Fife received his M.B.A. from the University of Southern California and his B.S. from Virginia Polytechnic Institute.

Joseph H. Wender
Mr. Wender joined GSC Group in 2005 as a Managing Director and became a Senior Managing Director in 2006. He is a member of the GSC Management Committee for GSC Structured Finance Funds and serves as Chairman of their Finance Committee. Prior to this, he began with Goldman, Sachs & Co. in 1971 and became a Partner of that firm in 1982, where he headed the Financial Institutions Group for over a decade. He is Chairman of the Board of GSC Capital Corp. and a director of First Coastal Bancshares and Isis Pharmaceuticals. Mr. Wender received his Bachelors degree from Northwestern University in 1966, his LLB from Yale Law School in 1969, and his M.B.A. with Highest Distinction as a Baker Scholar from Harvard Business School in 1971.

Robert B. Albertson
Mr. Albertson is chief strategist at Sandler O'Neill, New York, New York. Prior thereto, he was director of U.S. bank research for 13 years and global coordinator for financial sector research worldwide at Goldman, Sachs & Co. Prior to Goldman Sachs, he served as Managing Director for U.S. Bank Equities Research at Smith Barney. Mr. Albertson is a Tau Beta Pi graduate of Carnegie-Mellon University and an M.B.A. graduate of the Harvard Business School.

John M. Eggemeyer
Mr. Eggemeyer is a co-founder and chief executive of Castle Creek Capital LLC, Rancho Santa Fe, California, a merchant banking firm specializing in the financial services industry, and Castle Creek Financial LLC, a licensed broker/dealer. He also serves as Chairman of the Board of First Community Bancorp, is a director and Chairman of Centennial Bank Holdings, and Chairman and Chief Executive Officer of White River Capital Inc., and its wholly-owned subsidiary, Union Acceptance Corporation. He holds a B.S. degree from Northwestern University and an M.B.A. from the University of Chicago.

David E. Fife
Mr. David E. Fife is a Partner at Rosemont Solebury Capital Management, L.P., a private equity firm where he serves as Portfolio Manager for the firm's $350 million Co-Investment Fund. Prior thereto, he served as Chief Executive Officer of Earthport Plc., a London listed (LSE:EPO) international payments and foreign exchange provider. He is a non-executive director of Earthport Plc. Mr. Fife holds a B.A. from Duke University and an M.A. from Columbia University.

Bank Board of Directors ~ (proposed)

In February of 2007, AFC entered into a definitive agreement to acquire Federal City Bancorp and its subsidiary, American Partners Bank.

Howard Gould
Mr. Gould will serve as Chairman of AFC's new Bank subsidiary. He has over 35 years banking and bank regulatory experience. He is presently Vice Chairman of Carpenter & Company, Los Angeles, California, and a member of the board of directors of Nara Bank. In 2004, Mr. Gould was appointed by Governor Schwarzenegger as Commissioner of Financial Institutions in California, a position he held until September 2005. Prior to serving as Commissioner, Mr. Gould was vice chairman, chief administrative and chief operating officer of Sanwa/United California Bank.

Robert T. Barnum
Mr. Barnum brings over 35 years of experience in corporate finance, real estate and financial institutions operating management experience to the Bank. He has been a private investor in Irvine, California since 1997. Mr. Barnum was the chief operating officer of American Savings Bank, a $20.0 billion California thrift owned by the Robert M. Bass group. He has held other executive positions with First Nationwide Bank, The Krupp Group, and Fannie Mae.

Timothy Chrisman
Mr. Chrisman is the founder and the chief executive officer of Chrisman & Company, Inc., Los Angeles, California, a retained executive search firm founded in 1980 primarily dealing in the financial services industry group, consisting of commercial banks, savings and loans, securities firms, mortgage companies and insurance companies. Mr. Chrisman is also the current chairman of the board of directors of the Federal Home Loan Bank of San Francisco, and has served on that board since 2004. Mr. Chrisman has previously served as Chairman of the board of directors of Hawthorne Savings and Loan and its parent Hawthorne Financial Corporation, as well their successors, Commercial Capital Bancorp, Inc. and Commercial Capital, Inc.

Charless Chamness
Mr. Chamness is president of the National Association of Mutual Insurance Companies ("NAMIC"), Indianapolis, IN., and has served as a director of FCB and APB since 2005. He holds a B. A. degree from Indiana University, Bloomington, IN.

Rob Evans
Mr. Evans has had a 40-year career as a banker and fiduciary. He has been chief executive officer of six banks, in New York, California and internationally. He formerly was a Trustee in managing the United States' interests in the BCCI matter and is currently Trustee on behalf of the BCCI foreign liquidators, Federal Receiver Trustee appointed by the United States District Courts for the District of Columbia, Central District of California, Eastern District of California, Northern District of Oklahoma, Southern District of New York, District of Nevada, District of Arizona, Eastern District of Texas, Western District of Texas, and a California State Court Receiver in a variety of matters.

Mark R. Ruh
Mr. Ruh has been a vice president at Castle Creek Capital LLC, Rancho Santa Fe, California, a private equity firm working exclusively with financial services companies, since 1998. He currently serves on the board of directors and is president of both White River Capital, Inc. and its wholly-owned sub, Union Acceptance Company LLC.

Dennis A. Shirley
Mr. Shirley's 24 year career has included positions in executive management, marketing, strategic planning and sales in the financial services, multimedia publishing and retail food and drug industries. Serving at First Interstate Bancorp from 1985 though 1996, Mr. Shirley moved through a series of positions of increasing responsibility in credit, sales, marketing and strategic planning. He served as chief marketing officer and was responsible for strategic planning at Great Western Financial Corporation during 1996 and 1997. After two years as chief marketing officer with the nationally acclaimed Los Angeles Times, Mr. Shirley returned to banking as executive vice president/retail chief marketing officer at Sanwa Bank during 2000 through 2002. Mr. Shirley served as president of the Consumer Direct and Indirect Lending Division of IndyMac Bank from 2002 to 2005. He holds Bachelor of Science from California State University, Sacramento, and a Masters of Business Administration from the Marshall School of Business at the University of Southern California.
